These Terms of Service ("Terms") govern your access to and use of RUV Labs, including the website at ruvlabs.com, our applications, and related services (together, the "Service"). The Service is operated by ISCT LLC, a Wyoming limited liability company ("RUV Labs," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms, our Privacy Policy, our Community Guidelines, and any other policies referenced here. If you do not agree, do not use the Service.
1. Who can use RUV Labs
1.1 You must be at least 18 years old and able to form a binding contract.
1.2 You may not use the Service if you are barred from doing so under applicable law, including sanctions laws, or if we have previously suspended or banned your account.
1.3 If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
2.1 You sign in using a supported third-party login (currently Google). You are responsible for activity under your account and for keeping your login credentials secure.
2.2 You may hold one personal account. Creating multiple accounts, sharing accounts, or transferring accounts is not allowed.
2.3 You agree to provide accurate information and keep it up to date.
3. Verification and badges
3.1 Some features require identity verification ("KYC") through our third-party provider. Additional badges (for example Business, Employment, Education, Investor, Revenue, Funded and Expert Reviewer) may be earned by submitting documents or completing other checks described in our Verification & KYC Policy.
3.2 A badge means that, at the time of review, we checked the information or documents provided against our criteria. A badge is not a guarantee, endorsement, credit check, background check, or warranty about a person, company, investment, or the accuracy of anything they say. You remain responsible for your own due diligence.
3.3 Badges expire after one year unless renewed and may be revoked at any time if we believe the underlying information is inaccurate or if you violate these Terms.
3.4 Submitting forged, altered, or misleading documents, or impersonating anyone, results in permanent account termination and may be reported to authorities.
4. Using the Service
4.1 Posting limits. To keep the feed useful, posting is limited. Free accounts may make one posting action (a new post or a "Bump") per rolling 24-hour period; RUV Labs Pro accounts have higher limits. You may not post the same or substantially similar content again; use the Bump feature instead. Current limits are shown in the product and may change.
4.2 Contact information. Except inside a direct-message conversation that the other member has accepted, you may not share external contact details (such as email addresses, phone numbers, messaging-app handles or links, or QR codes) anywhere on the Service, and you may not attempt to evade our filters.
4.3 Direct messages. Direct messages to members you are not connected with are sent as requests. Recipients may accept, decline, block, or report. Messaging limits apply.
4.4 Community Guidelines. You must follow the Community Guidelines, which are part of these Terms.
4.5 Prohibited conduct. You may not: (a) violate any law or anyone's rights; (b) post false, misleading, fraudulent, or deceptive content; (c) send spam or unsolicited promotions, including multi-level marketing or "side income" schemes; (d) harass, threaten, or discriminate against others; (e) scrape, crawl, or harvest data from the Service except as permitted by our robots.txt for search indexing; (f) access the Service through automated means other than our published interfaces; (g) interfere with or disrupt the Service or its security; (h) reverse engineer the Service except where law permits; (i) circumvent posting limits, filters, paywalls, or enforcement actions, including by using multiple accounts; (j) upload malware or harmful code; or (k) use the Service to offer or sell securities in violation of law.
5. Deal Room and investment-related content
5.1 The RUV Labs Deal Room lets members describe companies that are raising capital and lets other members request introductions. RUV Labs is an information and networking platform only.
5.2 RUV Labs is not a broker-dealer, funding portal, investment adviser, or placement agent. We do not offer, sell, recommend, or solicit any securities; do not participate in negotiations or transactions; do not hold funds or securities; and do not receive compensation based on whether any investment occurs or on its size. Fees we charge (such as RUV Labs Pro or Deal Spotlight) are flat fees for platform features.
5.3 Nothing on the Service, including Deal Room listings, Insights, or Expert Review reports, is investment, legal, tax, or financial advice. Investing in startups is risky and you may lose your entire investment.
5.4 If you list a company, you are solely responsible for (a) the accuracy and completeness of the listing, and (b) complying with all securities laws that apply to any offering, including any restrictions on general solicitation and investor eligibility. Deal Room content is visible only to signed-in members.
5.5 If you are an investor, you are solely responsible for your investment decisions and for confirming your own eligibility to invest.
6. RUV Labs Pro and paid features
6.1 Subscription. RUV Labs Pro is a recurring subscription billed monthly or annually in advance through our payment processor, Stripe. It renews automatically until you cancel. There is no free trial.
6.2 Paid features. We also sell one-time features (such as Promoted Post, Deal Spotlight, and Expert Review). Their scope and duration are described at the point of purchase.
6.3 Prices and taxes. Prices are shown at checkout. Applicable taxes are calculated based on your location as described at checkout.
6.4 Cancellation and refunds. You can cancel at any time in your account settings; cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund & Cancellation Policy.
6.5 Changes to prices or features. We may change prices or plan features. Price changes for existing subscriptions apply from the next billing period after we give you reasonable advance notice. If you do not agree, you may cancel before the change takes effect.
6.6 Failed payments. If a payment fails and is not resolved, your account will revert to the free plan. Your content is retained.
6.7 Consumers in the EU/UK. By starting a subscription or purchasing a digital feature, you request immediate access and acknowledge that you lose your statutory right of withdrawal once the service has started, to the extent permitted by law.
7. Your content
7.1 You own the content you post ("Your Content"), including posts, profile information, portfolio items, Deal Room listings, and messages.
7.2 You grant RUV Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, adapt (for example, resizing images or creating previews), and otherwise use Your Content to operate, provide, improve, secure, and promote the Service. For public content, this includes showing it to visitors who are not signed in and making it available to search engines and AI search services in accordance with our robots.txt. This license ends when you delete Your Content or your account, except (a) for copies retained for legal, security, or backup purposes for a limited period, and (b) for content you shared in messages that remain in other members' conversations.
7.3 We do not permit Your user-generated content to be used to train third-party AI models to the extent we can control this through our robots.txt and agreements, and we do not sell Your Content.
7.4 You represent that you have all rights needed to post Your Content and that it does not violate law or anyone's rights.
7.5 We may remove or restrict any content that we believe violates these Terms or the Community Guidelines, or that creates risk for RUV Labs or others. We are not obligated to monitor content, but we may do so.
8. Enforcement, notices and appeals
8.1 We may limit features, remove content, suspend, or terminate accounts for violations, as described in the Community Guidelines. We will tell you the reason for significant actions unless doing so would be unlawful or create a safety risk.
8.2 You can appeal an enforcement decision within 14 days by using the appeal option in your settings or by emailing appeals@ruvlabs.com. We will review appeals and tell you the outcome.
8.3 Anyone can report content or accounts using the in-product report tools or by emailing abuse@ruvlabs.com. Copyright notices follow our Copyright & DMCA Policy.
9. Third-party services
The Service relies on third parties such as Google (sign-in, analytics), Stripe (payments), Didit (identity verification), and Cloudflare (hosting and security). Your use of those services may be subject to their terms. We are not responsible for third-party services or for content on external websites linked from the Service.
10. Intellectual property
The Service, including its software, design, text, graphics, logos, and the "RUV Labs" name, is owned by ISCT LLC or its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may send us feedback; we may use it without obligation to you.
11. Termination
11.1 You may delete your account at any time in settings. Deletion is processed as described in our Privacy Policy.
11.2 We may suspend or terminate your access at any time if you violate these Terms, if required by law, or if continuing to provide the Service to you would create risk for RUV Labs or others. If we terminate a paid subscription without cause, we will refund the unused portion.
11.3 Sections that by their nature should survive termination (including 5, 7.2 for retained copies, 10, 12, 13, 14 and 15) survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, RUV LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MEMBER, BADGE, LISTING, OR CONTENT IS ACCURATE OR RELIABLE. YOU ARE RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS, INCLUDING ANY AGREEMENTS, INVESTMENTS, OR WORK ARRANGEMENTS.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RUV LABS AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will defend, indemnify, and hold harmless RUV Labs and its members, managers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your dealings with other members (including any investment or offering), or your violation of these Terms or of law.
15. Governing law and disputes
15.1 These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.
15.2 Any dispute will be brought exclusively in the state or federal courts located in Wyoming, and you and RUV Labs consent to their jurisdiction, except that either party may seek injunctive relief in any competent court to protect intellectual property or confidential information.
15.3 If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction whose laws give you the right to bring claims in your local courts or to rely on mandatory local consumer protections, nothing in this Section removes those rights.
16. Changes to these Terms
We may update these Terms. If changes are material, we will notify you (for example by email or in-product notice) at least 14 days before they take effect, unless a change is required sooner by law or to address a security issue. Continuing to use the Service after the effective date means you accept the updated Terms.
17. General
These Terms, together with the policies referenced here, are the entire agreement between you and RUV Labs regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email address on your account.
